PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. By accessing, browsing, creating an account on, or purchasing from the Leen Auto Spares e-commerce system (the “Platform”), you (the “Customer”) agree to be bound by these Terms and Conditions.

These Terms, together with any referenced policies (including our Privacy Policy and Return & Cancellation Policy) form the entire legally binding agreement between you and Leen Auto Spares (the “Company,” “we,” “us,” “our”).

1. Definitions

• “Account”: A registered user profile created on the Platform.
• “Agreement”: These Terms and Conditions and any incorporated policies.
• “Customer,” “You,” “Your”: Any individual or entity using the Platform or purchasing Products.
• “Platform”: The Leen Auto Spares e-commerce website/app and related services.
• “Products”: Auto parts/spares and related items listed for sale on the Platform.
• “Order”: A request submitted by you to purchase Products.
• “Order Confirmation”: The communication confirming acceptance of your Order by us.
• “Content”: Text, images, product listings, logos, designs, and other materials on the Platform.

2. Use of the Platform

1. Eligibility: You must be legally capable of entering a binding contract under Tanzanian law to use the Platform.
2. Accuracy of Information: You agree to provide accurate and complete information when creating an Account or placing an Order.
3. Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your Account.
4. Prohibited Use: You must not:
   • misuse the Platform or attempt unauthorized access;
   • upload malicious code or interfere with Platform performance;
   • use the Platform for unlawful, fraudulent, or abusive activities.

3. Product Information & Availability

1. Product Descriptions: We aim to display accurate product details, but product images, packaging, specifications, and compatibility notes may vary by manufacturer batch.
2. Fitment/Compatibility: You are responsible for confirming Product compatibility with your vehicle/engine/model (where applicable). If you are unsure, contact us before ordering.
3. Availability: Product availability is subject to change without notice. Items may become unavailable after you place an Order.

4. Pricing, Payments, and Taxes

1. Pricing: Prices are shown on the Platform and may change at any time before Order Confirmation.
2. Taxes: Prices may be exclusive or inclusive of applicable taxes (including VAT) depending on how they are displayed at checkout. Where applicable, taxes will be shown on your invoice/receipt.
3. Payment Methods: We may offer payment options such as Mobile Money, bank transfer, cards, or other methods via third-party payment providers.
4. Payment Authorization: By submitting payment, you authorize us (and/or our payment processors) to charge the total amount due.
5. Failed/Delayed Payments: If payment fails or is reversed, we may cancel or suspend the Order until payment is confirmed.

5. Orders, Acceptance, and Cancellations

1. Placing an Order: Submitting an Order is an offer to purchase Products.
2. Acceptance: An Order is accepted only when we issue an Order Confirmation (by email/SMS/Platform notification).
3. Right to Refuse/Cancel: We may refuse or cancel Orders due to:
   • suspected fraud or unauthorized transactions;
   • pricing/stock errors;
   • inability to deliver to the provided address/location;
   • other reasonable operational issues.
4. Customer Cancellations: Customer cancellation rules (and any fees) are governed by our Return & Cancellation Policy.

6. Delivery, Shipping, and Collection

1. Delivery Timeframes: Any delivery timelines shown are estimates and not guarantees.
2. Delivery Details: You must provide accurate delivery/collection information and be available to receive the Products where delivery applies.
3. Delivery Failures: If delivery fails due to incorrect details, unavailability, or refusal to receive, additional delivery charges may apply.
4. Risk of Loss: Unless required otherwise by law, risk transfers to you upon successful delivery to your provided address or upon collection/hand-over.

7. Returns, Refunds, and Exchanges

1. Policy Applies: Returns, refunds, and exchanges are governed by our Return & Cancellation Policy (incorporated by reference).
2. Condition of Items: Returned Products typically must be unused and in original condition/packaging (unless the Product is defective or the law requires otherwise).
3. Non-Returnable Items: Certain Products may be non-returnable due to their nature (as specified in the Return & Cancellation Policy).
4. Refund Method: Refunds may be processed via the original payment method or another lawful method depending on the payment channel used.

8. Warranties and Disclaimers

1. Product Warranties: Some Products may come with manufacturer warranties. Where applicable, warranty terms are provided with the Product or upon request.
2. No Additional Warranty: Except as required by law or expressly stated, we provide Products and the Platform “as is” and “as available.”
3. Platform Availability: We do not guarantee uninterrupted, error-free, or secure access to the Platform at all times.

9. Intellectual Property (IP)

1. Our IP: All Platform Content (including branding, logos, layouts, graphics, and software) is owned by or licensed to Leen Auto Spares and is protected by applicable IP laws.
2. Limited License: You may use the Platform Content only for personal, non-commercial use connected to shopping on the Platform.
3. Restrictions: You must not copy, reproduce, distribute, sell, or exploit Platform Content without our written permission.

10. Confidentiality (Where Applicable)

If you share non-public information with us (e.g., for business-to-business orders, quotations, or special procurement), both parties agree to treat such information as confidential and not disclose it except as required to fulfill the Order or by law.

11. Data Protection and Privacy

1. Privacy Policy: Our collection, use, storage, and protection of personal data are governed by our Privacy Policy, which is incorporated into this Agreement.
2. Compliance: We aim to process personal data in compliance with applicable Tanzanian laws, including the Personal Data Protection Act (PDPA) of 2022.
3. Information from Website Visitors:
   • Google Analytics: We may use analytics tools to collect non-identifying or aggregated usage data (e.g., device/browser, pages visited) to improve the Platform.
   • Cookies: We may use essential cookies required for Platform functionality and user experience.
4. Information from Customers:
   • Account & Order Data: Name, phone number, email, delivery address, order history, and communications.
   • Payments: Payment processing may be handled by third-party providers. We generally do not store full card details where third-party gateways are used.

12. Limitation of Liability

To the maximum extent permitted by law:

1. Leen Auto Spares shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profit, business, or data) arising from the use of the Platform or Products.
2. Our total aggregate liability for any claim related to an Order or these Terms shall not exceed the amount paid by you for the specific Order giving rise to the claim.

13. Termination and Suspension

We may suspend or terminate your Account or access to the Platform if:

• you breach these Terms;
• we suspect fraud or illegal activity;
• required by law or a competent authority.

Termination does not affect completed Orders, outstanding payments, or any rights/obligations that by nature should survive.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Republic of Tanzania. Any disputes arising from these Terms shall be subject to the jurisdiction of the courts located in Dar es Salaam, Tanzania, unless applicable law requires otherwise.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the Platform and becomes effective from the date of posting. Continued use of the Platform after updates means you accept the revised Terms.
